The Dja Dja Wurrung people have established corporate entities that operate as the Dja Dja Wurrung

Corporate Group. In general terms:

  • The Dja Dja Wurrung Clans Aboriginal Corporation (DDWCAC), trading as DJAARA, is focused on formal representation and implementation of Dja Dja Wurrung rights, interests and obligations, including via the Recognition and Settlement Agreement and the Victorian Aboriginal Heritage Act 2006. DDWCAC employs all staff and holds all assets; and
  • Dja Dja Wurrung Enterprises Pty Ltd (DDWE) is focused on operating high-quality, professional and profitable Aboriginal businesses that satisfy client needs and the Dja Dja Wurrung people by providing job opportunities, financial security and self-determination.

DDWE is the Trustee for the DJANDAK, DUMAWUL, and DJAKITJ Fixed Trusts, which have a range of charitable objects relating to Dja Dja Wurrung people and cultural heritage and knowledge, including taking advantage of investment and commercial opportunities to generate assets and funds for charitable purposes and to create employment opportunities for Dja Dja Wurrung people.

DDWE Board Purpose

  • To act as Trustee for DJANDAK Fixed Trust and DUMAWUL Fixed Trust and DJAKITJ Fixed Trust. 
  • To operate commercial enterprises (advise, govern, oversee policy and direction, and assist with the leadership and general promotion of Dja Dja Wurrung Group) through Djandak, Dumawul and Djakitj for the financial benefit of DDWCAC.

Board Functions

To oversee the development of Businesses (Dja Dja Wurrung Enterprises trading businesses, DJANDAK,

DUMAWUL and DJAKITJ) that generate sustainable long-term sources of income for DDWCAC, the DDWE

Board will:

  • Provide organisational leadership and advice.
  • Oversee operations of the Businesses, including their accountability and control mechanisms.
  • Ensure the operation of appropriate systems of risk management and internal control, codes of conduct and legal compliance in relation to the Businesses and provide reports to the DDWCAC Finance, Audit and Risk (FAR) Standing Committee
  • Propose the annual DDWE budget and business plan for approval by the DDWCAC Board
  • Provide input into the Dja Dja Wurrung Group corporate strategy and annual business plan.
  • Distribute DDWE income to DDWCAC.
  • Formulate and maintain oversight of key policies and procedures.
  • Promotion of the organisation (Business development, fundraising and outreach)

Members of the board share these responsibilities while acting in the interest of DDWE. Each member is expected to make recommendations based on their experience and community perspective.

Desired Skills and Capabilities

The Dja Dja Wurrung Enterprises Pty Ltd is seeking specific skills that will support their business units,

including:

  • Significant expertise and experience in Tourism.
  • Significant expertise and experience in managing and operating commercial operations.
  • Significant expertise and experience in managing and operating land services management including regeneration and infrastructure.

In addition, to this specialist skills expertise in the following areas would be advantageous.

  • Develop and implement due diligence frameworks.
  • Risk management
  • Accounting, Finance and Investment
  • Governance and reporting
  • Contract management and commercial law.
  • Business-to-business networking

  • Marketing

Appointment

Dja Dja Wurrung Enterprise Pty Ltd is seeking to appoint 3 Independent Director but could be more

depending upon applications.

These appointments to the Dja Dja Wurrung Enterprises Pty Ltd will be made by a resolution of the

DDWCAC Board for a period of three years.

Meetings and time commitment

The board of directors typically meets six times a year. The meetings may be held online or in person in

Bendigo (at alternate locations on occasion), usually between 10 am and 4 pm on a weekday.

Preparation time is required to review meeting papers before each meeting.

Board members may be asked to attend special events or meetings, or to serve on committees, as

determined by a consensus of the Board.

Expectations of board members

  • Attend and participate in meetings regularly, and special events as able.
  • Participate on a standing committee of the board and serve on ad-hoc committees as necessary.
  • Be alert to community concerns that can be addressed by DDWCAC and DDWE mission, objectives, and programs.
  • Help communicate and promote the DDWCAC mission and programs to the community.
  • Become familiar with DDWE finances, budget, and financial/resource needs.
  • Understand and comply with the policies and procedures of the Dja Dja Wurrung Corporate Group
